These Terms of Service (“Terms”) govern your access to and use of the website www.yuzalto.com (the “Website”) operated by Yuzalto OOD (“Yuzalto”, “we”, “us” or “our”), and the general framework under which we provide our services. By using the Website or engaging our services you agree to these Terms. If you do not agree, please do not use the Website.

2. Use of the Website
You may use the Website for lawful purposes only. You agree not to:
- use the Website in any way that breaches applicable laws or regulations;
- attempt to gain unauthorised access to the Website, its servers or connected systems;
- introduce malicious code or interfere with the proper working of the Website;
- scrape, copy or republish content except as permitted by these Terms; or
- use the Website to transmit unsolicited advertising or harmful material.
We may suspend or restrict access to the Website at any time for maintenance, security or other operational reasons.
3. Intellectual property
Unless stated otherwise, all content on the Website — including text, graphics, logos, the “Yuzalto” name and brand, layout and design — is owned by or licensed to Yuzalto and protected by intellectual property laws. You may view and print pages for your own reference, but may not reproduce, distribute or commercially exploit any content without our prior written permission. Ownership of deliverables created during a client engagement is addressed in the relevant service agreement (see Section 4).
4. Our services
Yuzalto provides digital growth and marketing services, which may include growth marketing, brand and creative, web and product, SEO and content, data and automation, and social. The Website provides general information about these services; it does not itself constitute an offer to enter into a contract.
Any engagement is governed by a separate written agreement or proposal (the “Service Agreement”) accepted by both parties, which sets out the specific scope, deliverables, timelines, fees and ownership of work product. If there is any conflict between these Terms and a signed Service Agreement, the Service Agreement prevails.
5. Proposals, fees & payment
- Fees, payment schedules and any third-party costs (such as advertising spend) are set out in the applicable proposal or Service Agreement.
- Unless stated otherwise, fees are exclusive of VAT and other applicable taxes, charged in addition where required.
- Invoices are payable within the period stated on the invoice. We may suspend services for overdue payment, subject to applicable law.
- Advertising budgets paid to third-party platforms (e.g. Google or Meta) are separate from our service fees unless expressly agreed otherwise.
6. Client responsibilities
To deliver effectively, we rely on you to:
- provide accurate, complete and timely information, materials and approvals;
- ensure you hold the necessary rights to any content you provide to us;
- comply with the terms and policies of any third-party platforms used; and
- designate a point of contact authorised to give instructions and approvals.
Delays in the above may affect timelines and outcomes, for which we are not responsible.
7. Third-party platforms
Our services often rely on third-party platforms and tools outside our control. We are not responsible for the availability, policies, pricing, performance or decisions of such platforms, including the approval, rejection or suspension of advertising accounts or campaigns. Your use of those platforms is subject to their own terms.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in connection with an engagement, and to use it only for the purposes of that engagement, except where disclosure is required by law. This obligation survives termination.
9. Warranties & disclaimers
We provide our services with reasonable skill and care. However, marketing outcomes depend on many factors beyond our control, including market conditions and third-party platforms. We do not guarantee any specific results, rankings, traffic, leads, sales or return on investment.
The Website and its content are provided “as is” and “as available”, without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Website will be uninterrupted, error-free or free of harmful components.
10. Limitation of liability
To the fullest extent permitted by applicable law:
- we will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or anticipated savings;
- our total aggregate liability arising out of or in connection with an engagement shall not exceed the total fees paid by you to us for the services giving rise to the claim in the three (3) months preceding the event.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for death or personal injury caused by negligence or for fraud.
11. Indemnity
You agree to indemnify and hold Yuzalto harmless against any claims, damages and costs arising from your breach of these Terms, your misuse of the Website, or any content or instructions you provide that infringe the rights of a third party or applicable law.
12. Term & termination
These Terms apply while you use the Website. The term and termination of any service engagement are governed by the applicable Service Agreement. We may terminate or suspend your access to the Website immediately if you breach these Terms. Provisions which by their nature should survive termination (including Sections 3, 8, 9, 10, 11 and 13) will continue to apply.
13. Governing law & jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Bulgaria. The courts of Bulgaria shall have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you may have in your country of residence.
14. Changes to these Terms
We may update these Terms from time to time. The current version is always available here with the latest “Last updated” date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
